TERMS OF USE 

We are Y-SG Pte. Ltd. (Company Registration No. 200005870E), trading as www.ysg.com.sg ("YSG").

In these terms of use ("Terms"), the words "we", "our" and "us" refer to YSG and "Platform" means collectively YSG's websites, webpages and/or applications which we may manage, own or operate from time to time, each of which shall be described as a "Platform".

In using our Platform, you agree to be legally bound by these Terms as modified from time to time. If you are not comfortable with any of these Terms, we would advise you to exit. Please proceed only if you can accept these Terms.

We reserve the absolute right to suspend or to terminate your access to our Platform and services at any point in time without prior notice.

Access to our Platform

This includes, without limitations, webpages/websites relating to our Platform and all other subsites, content, information, applications, programmes, images/graphics, links (unless stated otherwise), sounds, videos and materials, which may be displayed in such webpages/websites, and the functions or services provided therein.

The accessibility and operation of our Platform relies on platforms and technologies outside of our control. We are not able to guarantee continuous accessibility or uninterrupted operation of our Platform.

Relying on Information

We provide our Platform as a general information source only. Do note that we are not involved in giving professional advice here. Our Platform may not cover all information available on a particular issue. We advise you to conduct your own checks or obtain professional advice relevant to your particular circumstances, outside of our Platform, prior to making any decision or taking any action based in whole or in part on the Content.

Security

Where appropriate, we will do our best to use technology available to us to protect the security of communications or transactions made or entered into through or on our Platform. Do note that we do not accept liability for the security, authenticity, integrity or confidentiality of any transactions and other communications made or entered into through or on our Platform. Internet communications may be susceptible to interference or interception by third parties. We do our best but we cannot make any warranties that our Platform is free of infection by computer viruses or other unauthorised software.

Rights

All intellectual property rights and copyrights in the content displayed on our Platform ("Content") belong to YSG or its licensors, as the case may be. All such rights are reserved by YSG and its licensors, as the case may be. 

Restrictions on Use of Content

No Content from our Platform shall be reproduced, republished, uploaded, posted, copied, imitated, stored, archived, transmitted, commercially exploited or otherwise distributed in any way without the prior written consent of YSG. Graphics and images on our Platform, including the YSG logo and related images, graphics, logos, page headers, button icons, script and service names, are protected by copyright and may not be reproduced or appropriated in any manner without prior written consent. In addition, such Content are trademarks of YSG in Singapore and other countries. YSG's trademarks may not be used in connection with any product or service that is not protected by YSG, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits YSG. All other trademarks not owned by YSG that appear on our Platform are the property of their respective owners.

You must not do any act that will or may interfere with our Platform's accessibility and/or proper functioning, or that will or may place an unreasonable or disproportionately large load on YSG or its licensors’ servers.

You also agree to abide by all copyright notices and restrictions attached to the Content and not to remove or alter any such notice or restriction or alter the Content in any way.

The downloading of any software, including any files, images and data accompanying such software from our Platform by you does not in any way transfer title of such software to you. You agree not to redistribute, sell, de-compile, reverse engineer or disassemble or otherwise deal with the software or create derivative works from our Platform or the Content thereon. If you print, copy or download any part of our Platform in breach of these Terms, your right to use our Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Third Party Content

Third party content may appear on our Platform or may be accessible via links from our Platform. YSG shall not be responsible and assumes no liability for any infringement, mistakes, misstatements of law, defamation, libel, slander, omissions, falsehoods or profanities in the statements, opinions, representations or any other form of content contained in any third party content appearing on our Platform.

Indemnity

You agree to indemnify and hold YSG, its directors, management employees, agents and affiliates harmless from any third party claims, liability, damages and/or costs, including but not limited to legal fees, due to or arising out of Content you submit, post, transmit or make available through our Platform, your use of or connection to our Platform, your breach of the Terms, or your violation of any rights of another.

Disclaimer of Warranties and Limitation of Liabilities

YSG obtains the Content from a wide range of sources and it includes facts, views, opinions, and information likely to be of interest to users of our Platform.

Under no circumstances, including, but not limited to negligence, shall YSG be liable for any direct or indirect damages whatsoever, caused to any person that result from any person’s use, misuse, abuse, access of, or inability to access or use the Platform and/or its Content.

While all reasonable efforts are taken, we do not guarantee and make no representations or warranties as to the accuracy, completeness, timeliness of any Content for any particular purpose on the Platform nor do we endorse or accept any responsibility for any views, advice, recommendations or opinions expressed on our Platform or any website to which we link.

We do not provide any representations or warranties in respect of our Platform or the Content, including in relation to any inaccuracies or omissions, warranties or merchantability, quality, fitness for a particular purpose, accuracy, availability, non-infringement or implied warranties from course of dealing or usage of trade or that our Platform is free from viruses/malware. We also do not provide any representations, warranties or guarantees that our Platform or the Content is compatible with any computer systems, software and/or browsers.

Hyperlinks

We are not responsible or liable for the availability, contents or operations of any other Internet site (not provided by us) linked to or from our Platform. Access to any other Internet site is at your own risk and YSG relinquishes all responsibility and liability for the use of these linked websites. There may also be other websites that may contain links to our Platform. This does not suggest our endorsement of such websites and/or associations with their operators. You may link to our home page, provided you do so in a way that is legal and is not likely to damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

We reserve the right to object, disable or withdraw any link or frame to or from our Platform without notice.

Registration on our Platform

Information collected from our users may be used for various reasons.

We are committed to safeguarding your privacy. We do not disclose specific information about our users to any third parties unless so required by law or any government agencies. In the event that you participate in contents or other promotional programs on our Platform sponsored or organised by third parties or purchase goods and services offered by third parties or offer goods and services to third parties on our sites, your information may be disclosed to and used by such third parties.

Non-Confidentiality

You agree that all information, including but not limited to personal particulars, sent or submitted by you to YSG in relation to the access of our Platform is non-confidential and non-proprietary unless otherwise expressly indicated by you. You further undertake not to submit any information and/or other materials which are or may be offensive, illegal or which may not be lawfully disseminated under the laws of Singapore or any other relevant country.

Privacy

Your use of our Platform is subject to YSG's Personal Data Protection Policy.

Changes to Terms

The Terms set out here may be edited, modified or deleted from time to time at the sole discretion of YSG without notifying you. Updated versions of the Terms will be posted on our Platform and are effective immediately. Your continued use of our Platform after any modifications to the Terms indicates your acceptance of the same, as modified.

Governing Law

The access and use of our Platform and its Content, and the Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Both we and you hereby agree to submit to the non-exclusive jurisdiction of the courts of the Republic of Singapore. In the event a dispute or difference arises  between you and us as to any matter of whatsoever nature arising under these Terms or in connection therewith, both we and you agree to make best efforts to resolve such dispute or difference in good faith with a view to resolution of such dispute or difference. In the event of a non-resolution of such dispute or difference, the parties hereto may commence legal proceedings. For the avoidance of doubt, the parties hereto shall continue to perform their legal obligations as set forth in these Terms (without prejudice to any right or remedy available to such parties), pending resolution of any dispute or difference. All dealings, correspondence and contacts between us shall be made or conducted in the English language.
